Welcome to Manely. These Terms of Use ("Terms") govern your access to and use of the Manely application ("App"), website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Subscription and Payments

4.1 Free and Paid Plans

Manely offers both free and paid subscription plans. The features available to you depend on your subscription level.

4.2 Auto-Renewable Subscriptions

Paid subscriptions are billed on a recurring basis (monthly or yearly) according to your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.

4.3 Pricing

Subscription prices are displayed in the App at the time of purchase. Prices may vary by region and are subject to change. Any price changes will take effect at the start of your next billing period following notice.

4.4 Cancellation

You may cancel your subscription at any time:

  • iOS: Through your Apple ID account settings
  • Web: Through your account settings in the App

Upon cancellation, you will retain access to paid features until the end of your current billing period.

4.5 Refunds

Refunds for subscriptions purchased through the App Store are subject to Apple's refund policies. For web subscriptions, please contact us at contact@manely.app for refund requests.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Upload or transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's operation
  • Use automated systems or software to extract data from the Service
  • Reverse engineer, decompile, or disassemble the App

6. User Content

6.1 Your Content

You retain ownership of any content you create within the Service, including tasks, folders, and comments ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely to provide the Service to you.

6.2 Content Sharing

When you share folders with other users, you authorize those users to view and interact with the content within those folders according to the permissions you set.

7. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Manely and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

11. Indemnification

You agree to indemnify and hold harmless Manely and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may bring claims in small claims court if eligible.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Manely regarding the Service and supersede all prior agreements.
